Terms of Service

Welcome to Agimat Health. These Terms of Service ("Terms") govern your access to and use of the Agimat Electronic Medical Record (EMR) platform and related services tailored for solo practitioners (the "Platform"), provided by Bathala Associates Organization, Inc. (AMAGI) ("Provider", "We", "Us", or "Our"), a company organized under the laws of the Philippines.

By registering for an account, clicking "I Agree," or using the Platform, you ("User", "You", or "Your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Provision of Service and Access

1.1 The Free EMR Tier

The Agimat EMR for solo practitioners is currently provided on a free-to-use basis. We reserve the right to introduce usage limits, premium features, or transition to a paid model in the future. We will provide at least thirty (30) days' prior written notice to the email address associated with your account before implementing any mandatory fees.

1.2 Platform License

Subject to your compliance with these Terms, We grant You a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal professional medical practice.

2. User Responsibilities

2.1 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use of your account.

2.2 Lawful Use

You agree to use the Platform in full compliance with all applicable laws, regulations, and industry standards, including but not limited to Philippine healthcare laws, Department of Health (DOH) administrative orders, and data privacy regulations.

3. Data Privacy and Security

3.1 Roles and Compliance

Each Party shall comply with the Philippine Data Privacy Act of 2012 (RA 10173) and relevant DOH issuances (e.g., DOH AO No. 2016-0037). For all patient health records and data processed through the Platform ("Patient Data"), You are the Personal Information Controller (PIC) and We are the Personal Information Processor (PIP).

3.2 Security Measures

We implement and maintain strict technical, physical, and organizational security measures designed to protect Patient Data, including industry-standard encryption for data in transit and at rest.

3.3 Breach Notification

In the event We become aware of a confirmed security incident affecting Patient Data, We will notify You without undue delay, and no later than seventy-two (72) hours from discovery, to assist You in fulfilling Your reporting obligations to the National Privacy Commission (NPC).

3.4 Data Subject Rights

As the PIC, You are solely responsible for responding to requests from your patients exercising their privacy rights. We will provide You with the technical tools necessary to fulfill these requests but will not respond directly to your patients unless legally compelled.

4. Intellectual Property

Our Materials: We retain all rights, title, and interest in and to the Platform, software, code, algorithms, and documentation.
Your Data: You and/or your patients retain all ownership of Patient Data. You grant Us a non-exclusive license to process such data solely to provide the services and to generate anonymized, de-identified metrics to improve the Platform.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VULNERABILITIES.

6. Limitations of Liability

UNDER NO CIRCUMSTANCES SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (I) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) FIVE THOUSAND PHILIPPINE PESOS (PHP 5,000.00). THIS LIMITATION DOES NOT APPLY TO OUR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

7. Term and Termination

7.1 Termination by Convenience

Because the solo practitioner tier is free, either Party may terminate this Agreement at any time, for any reason, by providing written notice or by deleting the account.

7.2 Suspension and Inactivity

We reserve the right to suspend or terminate your account if You materially breach these Terms or if your account remains completely inactive for a period of six (6) consecutive months. We will attempt to notify You prior to terminating an inactive account.

7.3 Post-Termination Data

Upon termination, Your access will be revoked. You may request an export of your Patient Data in a standard electronic format within thirty (30) days of termination. After this period, We may securely delete or anonymize remaining data unless retention is legally required.

8. Miscellaneous

8.1 Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Republic of the Philippines. Any dispute arising out of or relating to these Terms shall be finally resolved by arbitration in accordance with the rules of the Philippine Dispute Resolution Center (PDRC). The arbitration shall be held in Makati City, Philippines, and conducted in English.

8.2 Modifications to Terms

We may modify these Terms from time to time. We will notify you of material changes via email or an in-app notification. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

8.3 Entire Agreement

These Terms constitute the entire agreement between You and Bathala Associates Organization, Inc. regarding your use of the free solo practitioner EMR Platform, superseding any prior agreements.
